Bylaws of the Pacific Northwest Section
Article I—Name and Geographical Limits
This section of the FOREST PRODUCTS SOCIETY shall be known as the Pacific Northwest Section and shall cover the following geographical area
- Western and Northern Boundaries
- Starting at a point where the Pacific Ocean coastline of the United States touches the southern boundary of Oregon, thence northward along the coastline of the United States, Canada and Alaska; thence eastward along the northern coastline of Alaska to its eastern boundary.
- Southern and Eastern Boundaries
- In the United States, starting at a point where the southern boundary of Oregon touches the Pacific Ocean coastline, thence eastward along the common southern boundaries of the State of Oregon and Jackson County to the eastern boundary of Jackson Country; thence northward along the eastern boundaries of Jackson, Douglas, Lane, Linn, Marion, Clackamas and Hood River Counties in the State of Oregon; thence northward along the eastern boundaries of Skamania, Lewis, Pierce, King, Snohomish, Skagit and Whatcom Counties in the State of Washington to the U.S. – Canadian border.
- In Canada, starting at a point where the western boundary of Manning Provincial Park touches the U.S. – Canadian border, thence in a direct line to the city of Hope, B.C.; thence northward following the Fraser River to the town of Lytton, B.C.; thence in a direct line in a north-westerly direction to the town of Stewart, B.C. on the eastern border between Canada and Southeastern Alaska; thence northward along the eastern boundary of Alaska to the northeast corner of Alaska.
Article II—Affiliation
As an integral part of the FOREST PRODUCTS SOCIETY, this Section operates under the articles of association and by-laws of the FOREST PRODUCTS SOCIETY which was incorporated August 8, 1947, under the articles of the General Not For Profit Corporation Act in the State of Illinois.
Article III—Membership
All Voting, Supporting, and Student Members of the FOREST PRODUCTS SOCIETY in good standing, whose residence or place of business lies within the area covered by the Pacific Northwest Section as prescribed in ARTICLE I shall be members of the Section. Where doubt exists as to a member’s Section, it shall be the responsibility of the member to notify the Executive Secretary of the FOREST PRODUCTS SOCIETY of the member’s choice of Section affiliation.
Article IV—Dues
Section I. The fiscal year shall begin on January 1 and shall terminate on December 31 of the same year.
Section II. The Section shall not be limited to dues in providing the necessary funds to support Section activities.
Section III. Section membership of any member shall run concurrently with membership in the FOREST PRODUCTS SOCIETY.
Article V—Executive Officers and Duties
Section I. The Section Executive Officers shall consist of a Chair, Vice-Chair, Secretary and Treasurer. The Chair, Vice-Chair and Secretary will each serve for a one-year term in that office with the Secretary being elected each year and the previous Secretary and Vice-Chair advancing to Vice-Chair and Chair respectively. The Section Treasurer will be elected every three years.
Section II. The Chair shall preside at Section meetings, shall appoint such committees as needed, and shall perform all other duties incident to the office. The Chair shall also represent the Section at all national meetings where appropriate.
Section III. The Vice-Chair shall assume any duties delegated by the Chair and in the absence of the Chair shall assume duties of the Chair.
Section IV. The Secretary shall be responsible for recording Section activities, including meeting minutes. The Secretary shall maintain the Section roster and assist or represent the other Section Officers when necessary.
Section V. The Treasurer shall be responsible for the Section’s financial transactions, including income, expenditures, investments and banking of funds. The Treasurer shall maintain accurate records and make financial reports to the Section. This officer shall make the financial records available for audit as specified by the Section Executive Board. A copy of the audit shall be sent to the Executive Secretary’s Office of the FOREST PRODUCTS SOCIETY. Annually, a financial report for the previous fiscal year (January 1 to December 31) shall be submitted to the Executive Secretaryof the FOREST PRODUCTS SOCIETY on forms supplied by that office.
Section VI. Voting for executive officers shall be conducted by letter ballot at least 30 days prior to the conclusion of the FOREST PRODUCTS SOCIETY annual meeting. Officers shall succeed to office at the conclusion of the FOREST PRODUCTS SOCIETY annual meeting.
Article VI—Section Executive Board
Section I. The Section Executive Board shall consist of the executive officers, the Past-Chair, three elected trustees who shall be voting non-student members of the Society at the time of their election, and two trustees from the Section’s FPS-recognized student chapters.
Section II. The Northwest Regional Board Member of the FOREST PRODUCTS SOCIETY shall be an ex-officio member of the Section Executive Board.
Section III. Members of the Section Executive Board, except the Trustees and Treasurer, shall serve a four-year term. The Treasurer will serve a three-year term. Non-student trustees will serve a three-year term, with one elected each year in the same manner and at the same time as the Section Secretary. Student trustees shall serve at least one year but no longer than three years.
Section IV. The Executive Board shall manage the Section affairs. It shall meet at least annually, or more often at the discretion of the Chair.
Section V. The Section Executive Board shall be empowered to remove from office any officer or trustee that is not or cannot fulfill the duties of the office in which they are serving. This will require a 60% majority approval of the Section Executive Board; i.e., 4 out of 7, 5 out of 8, 6 out of 9.
Section VI. The Section Executive Board shall be empowered to appoint executive officers and trustees to vacancies as they occur between elections.
Section VII. The Past-Chair will act in an advisory capacity on all matters pertaining to Section activities.
Section VIII. When appointed and while serving, student trustees must be bona fide students in good standing at their respective institutions and members of their respective institutions’ FPS-recognized student chapters. Student Trustees will be selected by their student chapters and then recommended to the PNW Section officers for appointment. As long as it is financially able, the Section shall pay the FPS student membership for each Student Trustee’s period of service.
Article VII—Standing Committees
Section I. Standing Committees may be authorized and dissolved by the Section Executive Board. Each Committee shall provide recommendations to the Section Executive Board on policies and procedures related to their approved scopes and objectives.
Section II. Appointment procedures, scopes, objectives and responsibilities shall be defined in written guidelines approved by the Section Executive Board.
Article VIII—Meetings
Section I. The Section shall hold at least one business meeting each year and such other meetings as the Section Executive Board may direct.
Section II. When possible, membership shall be advised at least 30 days in advance of the date and place of each meeting.
Article IX—Expenses
The Section’s operation funds shall be obtained from dues, registration fees or other means approved by the Section Executive Board. Bills shall be approved for payment by officers of the Section. No remuneration shall be paid any officer, but actual expenses may be reimbursed.
Article X—By-Laws and Resolutions
Section I. All amendments to by-laws must be submitted in writing to the Section Executive Board. The Section Executive Board must then present them to the Section’s voting members for approval at least 30 days prior to a business meeting. At the discretion of the Section Executive Board, voting may be at any scheduled meeting or by mail. To pass an amendment to the by-laws, a two-thirds majority of the members voting is required.
Section II. All resolutions must be submitted to the Section Executive Board. The Section Executive Board must present them with its recommendations to the voting members present at the next meeting of the Section. To approve a resolution, a simple majority is required.
Section III. A quorum consists of the voting members present at any properly announced and scheduled meeting.
