Bylaws

Article I—Name

Section 1.   This chapter of the FOREST PRODUCTS SOCIETY shall be known as the Mississippi State University Student Chapter.

Article I—Affiliation

Section 1.   As an integral part of the FOREST PRODUCTS SOCIETY, this Chapter operates under the Articles of Association, Constitution, and Bylaws of the FOREST PRODUCTS SOCIETY which was incorporated August 8, 1947, under the articles of the General Not For Profit Corporation Act in the State of Illinois.

Article III—Membership

Section 1.   All members of The Mississippi State University Student Chapter of the FOREST PRODUCTS SOCIETY must be student, Faculty and staff members of Mississippi State University.

Section 2.   Chapter membership of any member shall run concurrently with their membership in the Society.

Article IV—Officers and Duties

Section 1.   The Chapter officers shall be students which consist of a Chair, Vice-Chair, Membership Chair, and Secretary-Treasurer, each of whom shall serve without remuneration.

Section 2.   The Chapter shall have a Mississippi State University Faculty/Staff Advisor who must be a member of the Society.

Section 3.   The Chapter officers shall manage the affairs of the Chapter. The officers shall meet at least once a semester during the regular school year, or more often at the discretion of the Chair.

Section 4.   The Chapter officers shall be empowered to appoint officers to vacancies as they occur between elections.

Section 5.   The Chapter Chair shall preside at meetings of the Chapter, shall appoint such committees as needed, shall appoint an audit committee, and shall perform all other duties incident to their office.

Section 6.   The Secretary-Treasurer shall be responsible for keeping minutes of meeting and recording activities of the Chapter. They shall maintain a current membership list and notify the membership of all planned events.

Section 7.   The Vice-Chair is customarily the Programs Chair. It is their duty to plan programs for Chapter meetings. They should also be ready to take over the duties of the chair during his absence.

Section 8.   The Membership Chair is responsible for developing a continual influx of new members and encouraging good attendance at Chapter meetings.

Section 9.   The above mentioned officers will be elected to serve for a period of one semester (i.e., two terms per year: fall and spring).

Section 10.   The duties of the MSU Faculty/Staff Advisor shall be to advise the Chapter officers on the Chapter proceedings. They shall also act as a coordinator between the Chapter and the Mississippi State University Faculty.

Section 11.   Officers shall be nominated by a nominating committee composed of the existing Chapter officers and committee heads and/or nominations from the floor. Elections will be by a quorum majority. Elections will be held during the last meeting each semester.

Section 12.   Said officers will assume office immediately after the elections.

Section 13.   In the event that an active officer wishes to terminate their services to the Chapter, whether it be termination of officer’s responsibilities and/or Chapter membership, they should submit a written statement in person before the next special meeting of the executive committee or regular meeting of the Chapter.

Article V—Finances

Section 1.   The fiscal year shall begin on October 1 and shall terminate on September 30 of the following year.

Section 2.   No Chapter dues shall be levied.

Section 3.   The Secretary-Treasurer shall be responsible for the financial transactions of the Chapter, including income, expenditures, and banking duties. They shall maintain records, make financial reports to the Chapter officers, and to the Treasurer of the Section according to procedure of the Society.

Section 4.   The operating revenues of the Chapter shall be obtained through activity fees collected at Chapter meetings or by contributions. Expenses may be approved only by officers of the Chapter.

Section 5.   The audit committee shall audit the books of the Treasurer at the close of each fiscal year. Copies of the audit shall be submitted to the Chapter Chair and to the Secretary-Treasurer.

Article VI—Meetings

Section 1.   The Chapter shall hold at least one meeting per semester and others as the officers may be directed.

Section 2.   All Chapter members shall be advised by the Secretary-Treasurer of the date and place of a meeting.

Article VII—Bylaws and Resolutions

Section 1.   A quorum shall consist of two-thirds (2/3) of the student members present at any properly announced and scheduled meeting.

Section 2.   No Chapter may make a resolution on any public matter.

Article VIII—Amendments

Section 1.   Bylaws may be amended at any meeting such that the proposed amendments shall not conflict with the Articles of the Association, Constitution, or Bylaws of the Society. An affirmative quorum vote, and of the Faculty Advisor in case of a tie vote, shall be required to amend, repeal, or in any way alter the Bylaws of the Chapter.

Section 2.   Written announcement of proposed amendments shall be furnished to the membership at least one meeting prior to the time of voting.
